FOLD RESERVE BONUS PROMOTIONAL TERMS

Last Updated: October 12, 2026

These Fold Reserve Bonus Promotional Terms (these “Promotional Terms”) govern the Fold Reserve Bonus promotion (the “Promotion”), offered by Fold, Inc. (“Fold,” “we,” “our,” or “us”). The Promotion is subject to these Promotional Terms, the Fold Terms and Conditions (the “Fold Terms”), and Fold’s Privacy and Data Protection Policy (the “Privacy Policy”). Capitalized terms used but not defined in these Promotional Terms have the meanings given to them in the Fold Terms.

These Promotional Terms control with respect to the Promotion. The provisions of the Fold Terms governing arbitration, class action waiver, governing law, limitation of liability, indemnification, and Fold’s modification rights control in all cases, including over any conflicting provision of these Promotional Terms.

The Promotion is a promotional marketing offer. Fold Reserve is closed-loop stored value redeemable for Fold products and services. Fold Reserve is not a deposit account, is not a savings account, and is not insured by the Federal Deposit Insurance Corporation or any other government agency. Fold does not pay interest, yield, dividends, or any other return on Reserve Units or a Reserve Balance, and the Reserve Balance itself earns nothing. The Bonus is a promotional incentive on Qualifying Purchases. It is not interest, is not paid for holding a Reserve Balance, and is not consideration for the use of money.

As used in these Promotional Terms: (a) “Eligible Member” means an individual who satisfies all of the eligibility requirements set forth in Section 1; (b) “Enrollment Window” means the period specified in Exhibit A during which Qualifying Purchases may be made; (c) “Qualifying Purchase” means a purchase of Reserve Units made by an Eligible Member during the Enrollment Window that settles on or before the Lock Date; (d) “Lock Date” means the date and time on which the Enrollment Window closes, as specified in Exhibit A; (e) “Qualifying Amount” means the amount determined under Section 3 as recalculated under Section 3 and as reduced under Section 5, in each case if applicable; (f) “Bonus” means the maximum potential amount determined under Section 4, as recalculated, if applicable, under Section 3 or Section 5; (g) “Bonus Installment” means one of the payments described in Section 7; (h) “Program” means a Participant’s individual enrollment in the Promotion; (i) “Program Term” means the period beginning on the Lock Date and ending on the last Anniversary Date, as specified in Exhibit A; (j) “Anniversary Date” means each successive twelve month anniversary of the Lock Date occurring during the Program Term; (k) “Participant” means an Eligible Member with an open Program; and (l) “Reduction Transaction” and “Net Reserve Purchases” have the meanings given in Section 5.

1. Eligibility. To participate in the Promotion, an individual must satisfy all eligibility requirements for a Fold account (a “Fold Account”) set forth in the Fold Terms, including the age, residency, and identity verification requirements stated there, must maintain an active Fold Account in good standing, and meet any additional requirements established by Fold from time to time. Unless an exception is provided by Fold, the individual must also be a new Fold Reserve member, meaning an individual who has not purchased Reserve Units at any time before the opening of the Enrollment Window. Participation is personal to the Participant and may not be transferred, assigned, shared, sold, or applied to any other account or individual. Fold has sole discretion to determine whether an individual satisfies these requirements and may request additional information or documentation to verify eligibility.

2. Enrollment Window and How to Participate. The Enrollment Window opens and closes on the dates and times specified in Exhibit A. An Eligible Member participates by making one or more Qualifying Purchases during the Enrollment Window. Qualifying Purchases must settle on or before the Lock Date to be counted. A purchase that is initiated but does not settle by the Lock Date is not a Qualifying Purchase. Where Exhibit A specifies a minimum Qualifying Purchase, an Eligible Member whose Qualifying Amount is below that minimum as of the Lock Date does not enroll in the Promotion and receives no Bonus. Where Exhibit A specifies a maximum Qualifying Purchase, Qualifying Purchases in excess of that maximum are disregarded for all purposes under these Promotional Terms. An Eligible Member may hold no more than one open Program at any time.

3. Determination of the Qualifying Amount. On the Lock Date, Fold determines the Qualifying Amount as the sum of the Participant’s Qualifying Purchases during the Enrollment Window minus the sum of the Participant’s Reduction Transactions settled during the Enrollment Window. If the payment used to fund a Qualifying Purchase is returned, reversed, charged back, or otherwise fails to settle finally, and that event occurs after the Lock Date, the affected purchase is deemed never to have been a Qualifying Purchase. Fold will recalculate the Qualifying Amount and the Bonus under Section 4 as of the Lock Date to exclude that purchase, will not treat that recalculation as a Reduction Transaction or as affecting Net Reserve Purchases, and will not reverse any Bonus Installment already paid.

4. Calculation of the Bonus; No Interest or Yield. On the Lock Date, Fold calculates the Bonus by multiplying the Qualifying Amount by the Bonus Rate specified in Exhibit A. Purchases of Reserve Units made after the Lock Date do not increase the Qualifying Amount or the Bonus. After the Lock Date, the Qualifying Amount and the Bonus are fixed, except for a recalculation under Section 3 and a reduction under Section 5, and may not increase. The Bonus is a maximum potential amount only. No portion of the Bonus is earned at the time of a Qualifying Purchase, at the Lock Date, or at any time before the conditions in Section 7 are satisfied with respect to a given Bonus Installment. The Bonus does not accrue, does not represent a debt or obligation of Fold prior to the satisfaction of those conditions, and confers no property right of any kind.

5. Reduction Transactions; Net Reserve Purchases. A Reduction Transaction is any redemption of Reserve Units initiated by the Participant and any refund of Reserve Units made at the Participant’s request. Amounts applied pursuant to legal process, refunds or cancellations initiated by Fold, and reversals or adjustments not initiated by the Participant are not Reduction Transactions. A Participant’s “Net Reserve Purchases” at any time equals the sum of the Participant’s purchases of Reserve Units settled after the Lock Date through that time, minus the sum of the Participant’s Reduction Transactions settled after the Lock Date through that time. If a Participant’s Net Reserve Purchases is negative at any time after the Lock Date, the Qualifying Amount used to calculate the Bonus Installment is reduced by the absolute value of the lowest Net Reserve Purchases reached at any time from the Lock Date through that Anniversary Date. The Qualifying Amount as so reduced is the “Adjusted Qualifying Amount.” Fold determines the Adjusted Qualifying Amount on each Anniversary Date. It never increases, it is reduced further on a later Anniversary Date if a lower Net Reserve Purchases is reached in the meantime, and purchases of Reserve Units made after a reduction do not restore it. A reduction under this Section 5 does not reverse any Bonus Installment already paid. For example, if a Participant’s lowest Net Reserve Purchases before the first Anniversary Date is negative $5,000, the Adjusted Qualifying Amount on that Anniversary Date is the Qualifying Amount minus $5,000, and it remains at that level on each later Anniversary Date unless a lower Net Reserve Purchases is reached. Fold’s records of purchases of Reserve Units, Reduction Transactions, and Net Reserve Purchases are conclusive, subject to applicable law.

6. Program Closure and Forfeiture. A Program closes permanently upon the earliest of the following: (a) the Participant’s Adjusted Qualifying Amount falling below the Minimum Qualifying Purchase specified in Exhibit A; (b) the Participant’s election to close the Program, which the Participant may make at any time through the Fold application; (c) closure, suspension, or termination of the Participant’s Fold Account by the Participant or by Fold; or (d) the Participant’s disqualification under Section 11 or Section 12. Program Closure is irreversible. No purchase of Reserve Units after a Program has closed reopens the Program. Upon Program Closure, all unpaid Bonus Installments are forfeited and no further amounts are payable. Bonus Installments already paid are not reversed or clawed back, and Program Closure does not affect the Participant’s Reserve Balance, which remains available in accordance with the Fold Terms. A Participant whose Program has closed may continue to use Fold Reserve and may participate in future Fold promotions for which the Participant is eligible, but may not re-enroll in this Promotion.

7. Payment of Bonus Installments. The Bonus is divided into the number of equal Bonus Installments specified in Exhibit A. Each Bonus Installment equals the Adjusted Qualifying Amount as of that Anniversary Date multiplied by the Bonus Rate, minus all Bonus Installments previously paid, divided by the number of Bonus Installments remaining including the current one, with any remainder allocated to the final Bonus Installment. No Bonus Installment is less than zero. Fold pays one Bonus Installment on each Anniversary Date on which the Program is not closed and the Participant’s Fold Account is in good standing and satisfies applicable identity verification requirements. If a Program is closed on an Anniversary Date, no Bonus Installment is payable for that Anniversary Date or for any later Anniversary Date. Bonus Installments are credited to the Participant’s Rewards Account under the Fold Terms. Each Bonus Installment is denominated and converted at the then prevailing market rate supplied by Fold or its designated exchange partner at the time of payment, less any applicable network, conversion, or processing fees. The Participant bears all price volatility risk from the time a Bonus Installment is credited. Once credited, a Bonus Installment is subject to the pending period, the minimum redemption amount, and the redemption procedures that apply to Rewards under the Fold Terms. The Rewards Account Limit in the Fold Terms does not prevent a Bonus Installment from being credited. Fold credits each Bonus Installment in full when due. Once credited, it counts toward the Participant’s Rewards Account balance, so a Participant at or above the Rewards Account Limit may need to redeem before earning further Rewards. Fold may delay or withhold payment of a Bonus Installment as necessary to comply with applicable law, court order, sanctions, or Fold’s compliance policies.

8. Termination or Modification by Fold. Fold may modify, suspend, or terminate the terms of the Promotion at any time; provided, however, that a Bonus Installment already credited to the Participant’s rewards balance under Section 7 may only be modified in the event of fraud or abuse as described in Section 12.

9. Death and Incapacity. Upon Fold’s receipt of notice of a Participant’s death or adjudicated incapacity, the Program closes and no further Bonus Installments become payable, except that any Bonus Installment payable under Section 7 for an Anniversary Date occurring before the date of death or adjudication, and which remains unpaid, will be paid to the Participant’s estate or legal representative upon presentation of documentation satisfactory to Fold. The Participant’s Reserve Balance and rewards balance are administered in accordance with the Fold Terms and applicable law.

10. Tax. Each Participant is solely responsible for any and all federal, state, local, or other tax obligations arising from the receipt, holding, or disposition of any Bonus Installment. Where required by applicable law, Fold will issue tax reporting forms to the Participant and to the relevant taxing authorities. A Bonus Installment paid in bitcoin is reportable at its fair market value at the time of receipt. By participating, the Participant will provide any additional information Fold reasonably requests for tax reporting purposes, and a Participant who is unable or unwilling to provide that information may forfeit unpaid Bonus Installments.

11. Exclusions. The following are not eligible for the Promotion: (a) business accounts, institutional accounts, and accounts not opened for personal, family, or household use; (b) accounts opened through third party promotional channels or marketing platforms not approved in advance by Fold; and (c) any individual flagged for suspected fraud, abuse, or suspicious activity, as determined by Fold in its sole discretion.

12. Fraud and Abuse. Any attempt to abuse, manipulate, circumvent, or undermine the Promotion by any means constitutes grounds for immediate disqualification, Program Closure, forfeiture of all unpaid Bonus Installments, and suspension or permanent closure of the individual’s Fold Account, in each case without prior notice. Fold reserves the right to pursue all available legal remedies, including recovery of improperly obtained Bonus Installments and referral to law enforcement. Fold’s fraud prevention and compliance teams may review accounts and participant activity at any time during or after the Program Term. Fold’s determinations regarding fraud, abuse, or suspicious activity are final and binding, and Fold has no obligation to disclose the basis for any such determination.

13. General Conditions. Participation in the Promotion constitutes the Participant’s unconditional acceptance of these Promotional Terms and all documents incorporated by reference, and the Participant’s agreement to abide by all decisions of Fold, which are final and binding in all respects. Unless Fold expressly states otherwise in writing, the Promotion may not be combined with any other promotion, offer, discount, or incentive program offered by Fold or any third party. The Promotion and all Bonus Installments are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOLD, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR BANKING PARTNERS (COLLECTIVELY, THE “FOLD PARTIES”) BE LIABLE TO ANY PARTICIPANT OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOLD PARTIES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION SHALL NOT EXCEED THE AMOUNT OF THE PARTICIPANT’S UNPAID BONUS INSTALLMENTS AS OF THE DATE THE CLAIM AROSE.

15. Release and Indemnification. By participating, each Participant releases, discharges, and holds harmless the Fold Parties from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with participation in the Promotion, the receipt or use of any Bonus Installment, or any breach of these Promotional Terms. Each Participant will indemnify the Fold Parties against any third party claims arising from the Participant’s participation or use of any Bonus Installment. If you are a California resident, you expressly waive California Civil Code Section 1542, which provides: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

16. Privacy and Data Use. By participating in the Promotion, the Participant consents to the collection, use, and disclosure of their personal information by Fold and its banking partners and service providers in accordance with the Privacy Policy and as permitted or required by applicable law, including the Gramm-Leach-Bliley Act.

17. Miscellaneous. These Promotional Terms, together with the Fold Terms and the Privacy Policy, constitute the entire agreement between the Participant and Fold with respect to the Promotion. Any dispute arising out of or relating to the Promotion or these Promotional Terms shall be resolved in accordance with the dispute resolution provisions of the Fold Terms, which are incorporated by reference. Governing law is determined by the Fold Terms. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Fold’s failure to enforce any provision shall not constitute a waiver of that provision. Fold may amend these Promotional Terms prospectively, and will provide notice of material changes by updating these Promotional Terms on Fold’s website. The Promotion is valid only in jurisdictions where permitted by applicable law and is void where prohibited. The Promotion is sponsored by Fold, Inc., 2942 North 24th Street, Suite 115, #42035, Phoenix, Arizona 85016. For questions, contact Fold at support@foldapp.com.
