Fold Spin Squad Terms and Conditions

These Fold Spin Squad Terms and Conditions (these “Spin Squad Terms”) govern your participation in the Fold Spin Squad referral program (the “Program”), operated by Fold Holdings, Inc. (“Fold,” “we,” “us,” or “our”). These Spin Squad Terms are Supplemental Terms that supplement, and are incorporated into, the Fold Terms and Conditions available at foldapp.com/legal/terms-and-conditions (the “Fold Terms”). Capitalized terms not defined in these Spin Squad Terms have the meanings given in the Fold Terms.
The Fold Terms govern dispute resolution, arbitration, class action waiver, governing law, limitation of liability, and indemnification for all matters arising out of or relating to the Program. In the event of a conflict between these Spin Squad Terms and the Fold Terms, the Fold Terms control as to the matters identified in the preceding sentence, and these Spin Squad Terms control as to all other matters specific to the Program.
By participating in the Program, you agree to these Spin Squad Terms and the Fold Terms.
- Eligibility. To participate in the Program as a referrer (“Referrer”), you must: (a) be at least the age of majority in your jurisdiction of residence; (b) have a valid, active Fold Account in good standing; and (c) not be otherwise prohibited from participating under applicable law or the Fold Terms. A user referred by a Referrer through the Program is a “Referred User.” The Program is void where prohibited. Fold may determine, in its sole discretion, whether a Referrer’s Fold Account is valid for purposes of the Program based on factors including account activity, account ownership, and the business affiliation of the email address domain associated with the account.
- How the Program Works. After creating your Fold Account, you may access the “My Spin Squad” page in the Fold App to obtain a unique referral link (your “Personal Link”). You may share your Personal Link with others.Referrers may earn two types of rewards under the Program (together, “Referral Rewards”):
- a Sign-Up Bonus, in the amount communicated in the Fold App or by Fold at the time of enrollment (which amount may change from time to time, including in connection with Special Promotions), when a Referred User signs up for a Fold Account using the Referrer's Personal Link and completes a Qualifying Transaction (as defined in Section 3) and satisfies the conditions other conditions in Section 3; and
- Squad Earnings, in an amount determined by Fold (generally between 1 and 50 sats per qualifying transaction, subject to change at Fold’s discretion), granted to the Referrer each time a Referred User (i) makes a purchase using a Fold-issued card or (ii) purchases bitcoin through the Fold App, in each case during the twelve (12) months following the Referred User’s enrollment in the Program, as described in Section 7.
- A Referred User who signs up using a Personal Link and completes a Qualifying Transaction may also be eligible to receive a Sign-Up Bonus, in the amount communicated in the Fold App or by Fold at the time of enrollment, which amount may change from time to time. Referral Rewards are a form of Rewards under the Fold Rewards Program and are subject to the Rewards Program provisions of the Fold Terms, including the Rewards Account Limit, the pending period applicable to Rewards, the redemption procedures, and the forfeiture provisions applicable on closure, suspension, or termination of a Rewards Account. For privacy reasons, Fold does not confirm whether any particular individual has used a Referrer’s Personal Link.
- Conditions for Receiving Referral Rewards. A Referral Reward is earned only if all of the following conditions are met: (i) the Referred User registers for a Fold Account using the Referrer’s Personal Link; (ii) the Referred User completes a Qualifying Transaction. A “Qualifying Transaction” means any transaction made by the Referred User through the Fold App or using a Fold-issued card, including, without limitation, a bitcoin purchase, a gift card purchase, or a debit or credit card transaction, in each case satisfying any minimum transaction amount designated by Fold. Fold may designate a minimum transaction amount of $0 (in which case any transaction qualifies) or a higher minimum, and may change the minimum from time to time, including in connection with Special Promotions. The minimum transaction amount in effect at the time of a Referred User's enrollment will apply to that Referred User's Qualifying Transaction for purposes of the Sign-Up Bonus; (iii) if the Referred User receives more than one Personal Link, Fold will attribute the referral to the Referrer whose Personal Link was actually used to complete registration, regardless of the order in which the links were received; (iv) the Referred User was not registered with the Fold App or any Fold-issued card under any email address or alias at any time within the preceding 12 months; (v) the Referred User is otherwise eligible to open and maintain a Fold Account and any applicable card account; and (vi) the Referred User and the Referrer both remain in good standing under the Fold Terms at the time the Referral Reward is granted. Referral Rewards may not be combined with any other monetary offer unless expressly permitted by Fold.
- Special Promotions. From time to time, Fold may offer special promotions under the Program (“Special Promotions”), which may include alternative referral links (“Personal Bonus Links”) and enhanced or modified rewards. Special Promotions may be offered to some but not all Referrers and may be limited by time, geography, Rewards status, or other criteria determined by Fold. Additional terms applicable to a Special Promotion, including any expiration date, will be communicated with the Special Promotion. Rewards under a Special Promotion will be earned only if the Referred User completes the applicable qualifying action before the Special Promotion ends.
- Program Integrity and Conduct. Referrers must participate in the Program in good faith. In connection with the Program, Referrers and Referred Users will not: (i) spam, bulk-distribute, or otherwise inappropriately broadcast a Personal Link or Personal Bonus Link; (ii) engage in self-referrals or create or use multiple Fold Accounts to generate Referral Rewards; (iii) use any script, bot, macro, automated system, or other technical means to participate in the Program; (iv) collect or attempt to collect personal information about other users or potential Referred Users; (v) harass, threaten, or abuse other users or Fold personnel; (vi) attempt to gain unauthorized access to the Fold App, the Program, or any related systems; (vii) transmit any software or code intended to disrupt or damage the Fold App or any related systems; or (viii) otherwise engage in conduct that undermines the fairness, integrity, or legitimate operation of the Program. Fold may, in its sole discretion, disqualify any participant, cancel or rescind any Referral Rewards, suspend or terminate a Fold Account, and refer conduct to law enforcement in response to any violation of this Section 5 or any other provision of these Spin Squad Terms or the Fold Terms. Fraud, abuse, and misrepresentation in connection with the Program are also subject to the fraud and enforcement provisions of the Fold Terms.
- Privacy. Participation in the Program may require Referrers and Referred Users to submit personal information to Fold. Personal information will be collected, processed, and used in accordance with the Fold Privacy Policy available at foldapp.com/legal/privacy-policy. When a Referred User engages in a transaction that triggers Squad Earnings, the Referrer will receive Squad Earnings. These notifications do not identify the Referred User, the merchant, the transaction amount, or any other personally identifiable information about the Referred User’s transaction.
- Squad Earnings Period; Transition. Squad Earnings are available to a Referrer with respect to a given Referred User only during the twelve (12) months following that Referred User’s enrollment in the Program (the “Squad Earnings Period”). After the Squad Earnings Period ends, transactions by that Referred User will not generate further Squad Earnings for the Referrer, regardless of whether the Referred User continues to use the Fold App or any Fold-issued card. For Referrers and Referred Users who were enrolled in the Program prior to June 1, 2026 (the “Effective Date”), the Squad Earnings Period will be measured from the Effective Date rather than from the date of the Referred User’s original enrollment, so that each such Referrer will have a full twelve (12) months of Squad Earnings eligibility measured from the Effective Date. For Referrers and Referred Users enrolled on or after the Effective Date, the Squad Earnings Period will be measured from the date of the Referred User’s enrollment in the Program.
- Modifications; Reservation of Rights. Fold reserves the right to modify, suspend, or terminate the Program, or to modify these Spin Squad Terms, at any time and for any reason, in its sole discretion. Material modifications will be reflected by an updated “Last Updated” date at the top of these Spin Squad Terms. Continued participation in the Program after a modification constitutes acceptance of the modified Spin Squad Terms. Fold reserves the right to determine, in its sole discretion, whether a referral is valid and whether any Referral Reward has been properly earned. All such determinations are final and binding, except where prohibited by applicable law. Fold’s failure to enforce any provision of these Spin Squad Terms does not constitute a waiver of that provision.
