First Deposit Spin Bonus Promotional Terms

These Promotional Terms and Conditions (these “Promotional Terms”) govern the Fold First Deposit Spin Bonus promotion (the “Promotion”), offered by Fold, Inc. (“Fold,” “we,” “our,” or “us”). The Promotion is subject to these Promotional Terms, the Fold Terms and Conditions available at https://foldapp.com/legal/latest-terms-and-conditions (the “Fold Terms”), the Fold Spinwheel Official Rules available at https://foldapp.com/legal/spinwheel-official-rules (the “Spinwheel Rules”), and Fold’s Privacy and Data Protection Policy available at https://foldapp.com/legal/privacy-policy (the “Privacy Policy”). In the event of a conflict between these Promotional Terms and the Fold Terms, Spinwheel Rules, or Privacy Policy, the more restrictive or protective provision shall control. Capitalized terms used but not defined herein have the meanings ascribed to them in the Fold Terms.

As used in these Promotional Terms: (a) “Eligible User” means an individual who satisfies all eligibility requirements set forth in Section 1; (b) “Eligible Account” means a Fold account opened by an Eligible User on or after December 1, 2025 that satisfies all conditions herein; (c) “Qualifying Deposit” means the initial deposit of at least two hundred fifty U.S. dollars ($250.00) into an Eligible Account as further described in Section 3; and (d) “Reward” means the bonus spins credited to an Eligible User’s Eligible Account upon completion of a Qualifying Deposit, subject to verification and the terms herein.

1. Eligibility. To qualify for the Promotion, a participant must satisfy all of the following requirements. The participant must be at least eighteen (18) years of age or the age of majority in their state of residence, whichever is greater, and must be a legal resident of one of the fifty (50) United States or the District of Columbia, physically located in the United States at the time of participation. The participant must also be a new customer of Fold, meaning an individual who has created a Fold account on or after December 1, 2025 and who has not previously funded a Fold account. Existing Fold users who have at any point funded a Fold account in excess of five U.S. dollars ($5) are not eligible, including those who previously held a Fold account that was closed, suspended, or terminated within the preceding six (6) months; Fold shall have sole discretion in determining whether a participant qualifies as a new customer. In addition, the participant must provide accurate, truthful, and complete information when opening the Eligible Account and throughout the duration of the Promotion, and must complete and pass Fold’s Know Your Customer (“KYC”) verification process prior to making the Qualifying Deposit. Fold reserves the right to request additional documentation or information at any time to verify eligibility. The Promotion is personal to the Eligible User and may not be transferred, assigned, shared, sold, or applied to any other account or individual.
2. Promotion Period. The Promotion begins on April 15, 2026 and ends on June 30, 2026 at 11:59 PM Eastern Time (the “Promotion Period”). All Qualifying Deposits must be initiated and completed within the Promotion Period. Deposits initiated but not settled by the close of the Promotion Period may not qualify, as determined by Fold in its sole discretion. Fold reserves the right to modify, extend, suspend, or terminate the Promotion at any time, with or without prior notice, for any reason, including fraud, technical failure, or regulatory change. In such event, Fold shall have no obligation to award any Reward or to compensate any participant.
3. How to Earn the Reward. To receive the Reward, the Eligible User must complete a Qualifying Deposit of at least two hundred fifty U.S. dollars ($250) into the Eligible Account during the Promotion Period using one of the following approved methods: (I) instant deposit via a linked debit card, subject to a processing fee of 1.5% of the deposit amount; (II) a one-time bank transfer via a linked bank account, at no additional fee; or (III) a recurring deposit via a linked bank account on a weekly, bi-weekly, or monthly schedule, at no additional fee. Each method independently qualifies for the Reward, provided the minimum deposit threshold is met in a single transaction. Deposit method availability may vary. Upon verification of a completed Qualifying Deposit, bonus spins will be credited to the Eligible Account within five (5) business days. Fold reserves the right to delay crediting pending fraud prevention review, account verification, or compliance checks.
4. Reward Details and Limitations. The number of bonus spins offered as the Reward may vary by Eligible User based on factors such as promotional cohort and account attributes. The Reward amount communicated to each Eligible User in their promotional messaging is the amount applicable to their Eligible Account. Fold makes no guarantees regarding the value or outcome of any spin, and all spins are subject to the odds, prize tiers, and conditions set forth in the Spinwheel Rules. Each Eligible User is limited to one (1) Reward. Spins have no cash value, are non-transferable, and must be used in accordance with the Spinwheel Rules. Unused spins shall be forfeited after the expiration period specified therein. Any bitcoin or digital-asset rewards obtained through spins are subject to market volatility, and Fold does not warrant their future value. Such rewards are governed by the applicable provisions of the Fold Terms.
5. Tax Obligations. Each participant is solely responsible for any and all federal, state, local, or other tax obligations arising from the receipt, use, or disposition of any Reward or prizes obtained through bonus spins. Fold may, where required by applicable law, issue tax reporting forms (including IRS Form 1099) to participants and to the relevant taxing authorities. By participating, the participant agrees to provide any additional information reasonably requested by Fold for tax reporting purposes.
6. Exclusions. The following are not eligible for the Promotion: (a) employees, officers, directors, contractors, agents, or affiliates of Fold, Inc. or its parent company, or any of their respective subsidiaries or affiliates, and members of the immediate families and households of any such persons, unless Fold expressly permits participation in writing; (b) business accounts, institutional accounts, or accounts not opened for personal, family, or household use; (c) accounts opened through third-party promotional channels or marketing platforms not approved in advance by Fold; and (d) any participant flagged for suspected fraud, abuse, or suspicious activity, as determined by Fold in its sole discretion.
7. Fraud and Abuse. Any attempt to abuse, manipulate, circumvent, or undermine the Promotion by any means shall constitute grounds for immediate disqualification, forfeiture of any Reward, and suspension or permanent closure of the participant’s Fold account, without prior notice. Fold reserves the right to pursue all legal remedies available, including recovery of improperly obtained Rewards and referral to law enforcement. Fold’s fraud prevention and compliance teams may conduct reviews of accounts and participant activity at any time during or after the Promotion Period. Fold’s determinations regarding fraud, abuse, or suspicious activity are final and binding, and Fold shall have no obligation to disclose the basis for any such determination.
8. General Conditions. Participation in the Promotion constitutes the participant’s unconditional acceptance of these Promotional Terms and all documents incorporated herein by reference, and the participant’s agreement to abide by all decisions of Fold, which are final and binding in all respects. Unless Fold explicitly states otherwise in writing, the Promotion may not be combined with any other promotion, offer, discount, or incentive program offered by Fold or any third party. Fold reserves the right to withhold, revoke, or claw back any Reward, at any time and without prior notice, if the participant fails to satisfy any requirement of these Promotional Terms, if the participant’s account is closed or suspended for any reason, or if Fold determines in its sole discretion that the Reward was obtained through fraud, abuse, error, or any violation of these Promotional Terms or the Fold Terms. In the event of a clawback, Fold may debit the value of the Reward from the participant’s account without further notice or consent. The Promotion and all Rewards are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOLD, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR BANKING PARTNERS (COLLECTIVELY, THE “FOLD PARTIES”) BE LIABLE TO ANY PARTICIPANT OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOLD PARTIES’ TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF (A) THE ACTUAL VALUE OF THE REWARD APPLICABLE TO THE PARTICIPANT’S ELIGIBLE ACCOUNT, OR (B) TWO HUNDRED FIFTY DOLLARS ($250.00).
10. Release and Indemnification. By participating, each participant releases, discharges, and holds harmless the Fold Parties from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with participation in the Promotion, the receipt or use of any Reward, or any breach of these Promotional Terms. Each participant further agrees to indemnify the Fold Parties against any third-party claims arising from the participant’s participation or use of any Reward.
11. Privacy and Data Use. By participating in the Promotion, the participant consents to the collection, use, and disclosure of their personal information by Fold and its banking partners and service providers in accordance with the Privacy Policy and as permitted or required by applicable law, including the Gramm-Leach-Bliley Act.
12. Miscellaneous. These Promotional Terms, together with the Fold Terms, the Spinwheel Rules, and the Privacy Policy, constitute the entire agreement between the participant and Fold with respect to the Promotion. Any dispute arising out of or relating to the Promotion or these Promotional Terms shall be governed by and resolved in accordance with the dispute resolution provisions of the Fold Terms, which are incorporated herein by reference. These Promotional Terms shall be governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Fold’s failure to enforce any provision shall not constitute a waiver of that provision. Fold reserves the right to amend these Promotional Terms at any time in its sole discretion. If Fold makes material changes, it will provide notice by updating the Promotional Terms on Fold’s website. Continued participation in the Promotion following any such update constitutes acceptance of the revised Promotional Terms. The Promotion is valid only in jurisdictions where permitted by applicable law and is void where prohibited.
