E-Sign Consent

Fold, Inc. and its affiliates, issuing bank partners, custodial and exchange service providers, and third party service providers (collectively, “Fold,” “we,” “our,” or “us”) may need to provide you with certain communications, notices, agreements, billing statements, regulatory disclosures, or other information required by law in writing (“Communications”) regarding our website, mobile app, products, and services (“Services”). “Services” includes, without limitation, the Fold mobile application, the Fold website, the Fold Bitcoin Credit Card, the Fold Prepaid Debit Card, Bitcoin exchange and purchase services, Bitcoin gift cards, the Bitcoin Employee Bonus Program, the Spinwheel, and any other products or services we may offer from time to time. Your agreement to this E-sign Consent confirms your ability and consent to receive Communications electronically from Fold, its affiliates, and its third party service providers, rather than in paper form, and to the use of electronic signatures in our relationship with you (“Consent”). If you choose not to agree to this Consent or you withdraw your consent, you may be restricted from using the Services.

Electronic Delivery of Communications and Use of Electronic Signatures

Under this Consent, Fold may provide all Communications electronically by email, by text message, by push notification, by in-app or secure portal messaging, or by making them accessible via Fold websites or applications, or by any other electronic means consistent with applicable law. Communications include, but are not limited to, the following categories of records:

  1. Agreements, Policies, and Disclosures. This Consent, the Fold Privacy Policy, the Fold App Terms and Conditions, the Fold Bitcoin Credit Card Cardholder Agreement, the Fold Prepaid Debit Card Cardholder Agreement, the BitGo Account Agreement, the Fold Exchange Services Agreement, and any other Fold and third party service provider agreements, policies, terms, or disclosures related to your use of the Services, including amendments, modifications, supplements, and replacements thereof.
  2. Transaction Communications. Payment authorizations, transaction receipts or confirmations, bitcoin purchase and sale confirmations, exchange rate disclosures, blockchain network fee disclosures, and any other notices related to transactions conducted through the Services.
  3. Account Communications. Account statements, account history, periodic statements, balance information, account alerts, and notices related to account status, suspension, restriction, or closure.
  4. Card-Related Communications. Schumer Box fee disclosures, account-opening disclosures, change-in-terms notices, Regulation E and Regulation Z disclosures, error resolution notices, billing statements, and any other disclosures required in connection with the Fold Bitcoin Credit Card, or Fold Prepaid Debit Card, including communications from our issuing bank partners.
  5. Bitcoin and Digital Asset Communications. Risk disclosures required under applicable federal or state law, custody-related notices, security notices, and any other disclosures related to bitcoin or digital asset services provided through the Services, including communications from our custodial service provider.
  6. Bitcoin Employee Bonus Program Communications. Program enrollment and participation agreements, bonus accrual and distribution notices, employer-specific program terms or modifications, and any other notices related to your participation in the Bitcoin Employee Bonus Program.
  7. Tax Documents. All federal and state tax statements and documents, including but not limited to applicable IRS Forms, cost basis and gain/loss reporting statements, year-end tax summaries, and any corrected or amended tax forms.
  8. Privacy and Security Notices. Privacy policy updates, data breach notifications, security alerts, and any other notices required under the Gramm-Leach-Bliley Act, state privacy laws, or SEC Regulation.
  9. Regulatory and Legal Notices. Any communications, notices, or disclosures required by federal, state, or local law, regulation, or court order, including but not limited to anti-money laundering notices, Bank Secrecy Act-related communications, and customer identification program correspondence.
  10. Future Products and Services. Communications related to any new products, services, features, or programs that Fold may offer in the future, to the extent you enroll in or utilize such services.

We may also use electronic signatures and obtain them from you as part of any of the foregoing Communications or in connection with any transaction or agreement related to the Services.

System Requirements

To access and retain the electronic Communications, you will need the following:

  • A computer, tablet, or mobile device with Internet or mobile connectivity.
  • A valid and active email address registered with your Fold account.
  • A current, supported operating system (e.g., Windows, macOS, iOS, or Android).
  • The current or immediately prior major release of Google Chrome, Mozilla Firefox, Apple Safari, or Microsoft Edge.
  • Software capable of viewing and saving files in Portable Document Format (“PDF”).
  • Sufficient storage space to save Communications and/or access to a printer to print them.
  • If you use a spam filter that blocks or re-routes emails from senders not listed in your email address book, you must add noreply@foldapp.com, support@m.foldapp.com, support@t.foldapp.com, noreply@foldapp.com, and card-issuing-notices@stripe.com (and any other email addresses we may designate from time to time) to your email address book.
  • For Communications delivered via push notification, you must enable push notifications for the Fold mobile application on your device.

For application-based Communications:

  • A device operating system that supports downloading and installing applications from the Apple App Store or Google Play Store; and
  • The most current version of the Fold mobile application.

By accessing and completing this Consent electronically, you confirm that your system meets the requirements described above and that you are able to receive, access, and retain Communications in electronic form. We reserve the right to send you Communications in paper form at any time, even if you have consented to receive Communications electronically.

Changes to Hardware and Software Requirements

If our hardware or software requirements change such that there is a material risk that you would not be able to access or retain electronic Communications, we will notify you of the revised requirements. Following such notification, you will have the right to withdraw your consent to receive electronic Communications without the imposition of any fees or conditions that were not previously disclosed. If you do not provide your affirmative consent to the new requirements within the timeframe specified in the notice, we may treat your failure to respond as a withdrawal of consent.

Paper Delivery of Communications

You have the right to receive Communications in paper form. To request a paper copy of any Communication, please write to Fold, Inc., 2942 North 24th Street, Suite 115, #42035 Phoenix, Arizona 85016, Attn: Customer Support (“Fold Address”) within 180 days of the date of the Disclosure, specifying in detail the Communication you would like to receive. A fee may apply for copies of paper Communications. For the avoidance of doubt, requesting a paper copy of any Communication, in and of itself, will not be treated as withdrawal of consent to receive electronic Communications.

Withdrawal of Consent to Electronic Communications

You may withdraw your consent to receive electronic Communications at any time by writing to the Fold Address, by emailing support@foldapp.com, or by contacting us through the Fold mobile application. Withdrawal of your consent to receive electronic Communications may result in restricted access to, or termination of, some or all of the Services. Specifically, withdrawal of consent may result in:

  • Delayed access to transaction confirmations, account statements, and other Communications;
  • Restrictions on or closure of your Fold account, including your Fold Bitcoin Credit Card, Fold Prepaid Debit Card, bitcoin exchange account, and/or Bitcoin Employee Bonus Program participation; and
  • Loss of access to certain digital-only features of the Services.

There is no fee for processing the withdrawal of consent itself. Any withdrawal of your consent will be effective after a period of not more than ten (10) business days following our receipt of your request. During the processing period, Communications may continue to be delivered electronically. Withdrawal of your consent will not affect the legal validity or enforceability of any Communication previously provided to you electronically. Fold will confirm your withdrawal of consent and its effective date in writing.

Updating Your Contact Information

You are responsible for keeping your email address, phone number, and other contact information current with Fold. You may update your contact information through the Fold mobile application, by emailing support@foldapp.com, or by writing to the Fold Address. Fold shall not be liable for any delay or failure to deliver Communications resulting from an inaccurate or outdated email address, phone number, or other contact information provided by you.

Deemed Receipt of Communications

Communications sent to you electronically will be deemed received by you: (a) if sent by email, on the date sent to the email address associated with your Fold account; (b) if posted to the Fold website or mobile application, on the date first made available to you; (c) if sent by push notification, on the date the notification is sent to your device; and (d) if sent by text message, on the date transmitted to the phone number associated with your Fold account. It is your responsibility to check your email, the Fold mobile application, and other electronic channels for Communications on a regular basis. Standard carrier message and data rates may apply to Communications delivered via text message or push notification.

Accessibility

Fold is committed to making its Communications accessible to all users. If you require Communications in an alternative format due to a disability, please contact us at support@foldapp.com or write to the Fold Address, and we will work with you to provide a reasonable accommodation.

Federal Law

You acknowledge and agree that your consent to receive electronic Communications is provided in connection with a transaction affecting interstate commerce that is subject to the federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) (“E-Sign Act”), and that you and Fold both intend that the E-Sign Act apply to the fullest extent possible to validate our ability to conduct business with you electronically.
