Fold Bitcoin Credit Card Activation Offer Terms

These Fold Bitcoin Credit Card Activation Offer Terms (these “Offer Terms”) govern the promotional offer described below (the “Offer”) made available by Fold Holdings, Inc. (“Fold,” “we,” or “us”). These Offer Terms are supplemental terms under, and are incorporated into, the Fold Terms and Conditions (the “Fold Terms”), available at https://foldapp.com/legal/terms-and-conditions. By participating in the Offer, you agree to these Offer Terms and the Fold Terms, including the dispute resolution and arbitration provisions (and class action waiver), limitation of liability, indemnification, E-Sign Consent, and Privacy Policy referenced in the Fold Terms. Capitalized terms used but not defined in these Offer Terms have the meanings given in the Fold Terms. If these Offer Terms conflict with the Fold Terms with respect to the Offer, these Offer Terms control. In all other respects, the Fold Terms control.

The Offer

If you satisfy all of the conditions in the How to Qualify Section below, Fold will credit your Rewards Account with a one-time Reward in bitcoin equal to Fifty U.S. Dollars ($50.00 USD) in value at the time of credit (the “Activation Reward”). The Activation Reward is a Reward under the Fold Rewards Program for all purposes and is subject to all provisions of the Fold Terms applicable to Rewards.

Offer Period

The Offer begins at 12:00 AM Eastern Time on July 20th 2026 and ends at 11:59 PM Eastern Time on July 24th 2026 (the “Offer Period”).

How to Qualify

To qualify for the Activation Reward, you must satisfy all of the following:

1. You received a pre-selected invitation from Fold to apply for the Fold Bitcoin Credit Card. The invitation is personal to you and is non-transferable.
2. You submit a completed application for the Fold Bitcoin Credit Card during the Offer Period.
3. Your application is approved by Celtic Bank.
4. You activate your Fold Bitcoin Credit Card within 2 days after approval.
5. At the time the Activation Reward is credited, you maintain a Fold Account and a Rewards Account in good standing and you are not otherwise excluded under the Eligibility and Exclusions Section below.

If you satisfy all of the conditions above, Fold will credit the Activation Reward to your Rewards Account within five (5) business days after card activation, subject to the Verification and Withholding, Reversal, and Recoupment Sections below.

Credit Approval

Credit approval decisions for the Fold Bitcoin Credit Card are made solely by Celtic Bank, a Utah-chartered bank. Receiving an invitation to apply is not an approval, an offer of credit, or a guarantee that your application will be approved, and Fold makes no representation regarding the likelihood that any application will be approved. Your use of the Fold Bitcoin Credit Card is governed by the Fold Bitcoin Credit Card Cardholder Agreement. The Activation Reward is provided by Fold, not by Celtic Bank, and Celtic Bank has no obligation or liability with respect to the Offer or the Activation Reward.

Bitcoin Valuation

The Activation Reward will be calculated based on the USD value of bitcoin at the time of credit, using exchange rates, conversion information, and other data determined by Fold in its sole discretion. The market value of bitcoin fluctuates, and Fold does not guarantee any specific bitcoin amount or any particular value of the Activation Reward after the time of credit. Fold disclaims any and all liability in connection with the value of bitcoin on any given date or any change in the value of the Activation Reward after crediting.

Eligibility and Exclusions

The Offer is available only to individuals who meet all eligibility requirements of the Fold Terms, including that you are eighteen (18) years of age or older and a citizen or permanent resident of the United States, and only where the Fold Bitcoin Credit Card and Fold’s bitcoin services are available. The Offer is void where prohibited by law.

The following are not eligible for the Activation Reward:

1. Current or former holders of a Fold Bitcoin Credit Card. The Offer is available to first-time cardholders only.
2. Employees, officers, directors, and contractors of Fold, its affiliates, and Celtic Bank, and members of their immediate families or households.
3. Any person whose Fold Account, Rewards Account, or Fold Bitcoin Credit Card account is suspended, closed, delinquent, in default, or otherwise not in good standing at the time of crediting or at any time during the pending period.
4. Any person who Fold determines, in its sole discretion, has engaged in fraud, abuse, manipulation, or a violation of these Offer Terms or the Fold Terms in connection with the Offer, including by applying using another person’s invitation, by submitting false or misleading information in connection with an application or a Fold Account, or by attempting to obtain more than one Activation Reward.

Limitations

The Activation Reward is limited to one (1) per person and one (1) per Fold Account, regardless of the number of invitations received or applications submitted. The Activation Reward is non-transferable, has no cash value, may not be purchased, may not be exchanged or substituted except as provided in the Fold Terms, and may not be combined with other promotional offers unless explicitly stated by Fold. If your Fold Bitcoin Credit Card account or Fold Account is closed, suspended, or terminated for any reason before the Activation Reward is credited, you will not receive the Activation Reward.

Verification

Fold may require verification of your identity, eligibility, or satisfaction of the Offer conditions before crediting the Activation Reward, and may delay crediting pending completion of any fraud, compliance, or risk review. All determinations regarding the Offer, including whether an application was submitted during the Offer Period, whether a card was timely activated, whether you satisfy the eligibility requirements, and whether the conditions of the Offer have been met, will be made by Fold in its sole discretion and, to the extent permitted by applicable law, are final and binding.

Withholding, Reversal, and Recoupment

If the Activation Reward is credited in error, is obtained through fraud, abuse, or a violation of these Offer Terms or the Fold Terms, or is credited to a person who did not satisfy all conditions of the Offer, Fold may withhold, reverse, debit, cancel, or recoup the Activation Reward or its value at any time, whether before or after the pending period, including by deducting the corresponding amount from your Rewards Account or by exercising its rights under the Fold Terms, including the provisions governing Rewards Account adjustments and your return of misapplied Rewards. If your Fold Bitcoin Credit Card account is closed, charged off, or in default before the pending period ends, the Activation Reward may be forfeited in accordance with the Fold Terms.

Modification, Suspension, and Termination of the Offer

Fold may modify, suspend, or terminate the Offer at any time in its sole discretion, including by changing the Offer Period or eligibility conditions, by providing notice through the Services, by email, or by updating these Offer Terms. Any modification, suspension, or termination applies prospectively only and will not affect an Activation Reward that you have already earned by completing all of the conditions in the How to Qualify Section before the effective date of the modification, suspension, or termination, except where the Activation Reward was obtained through fraud, abuse, error, or a violation of these Offer Terms or the Fold Terms. If Fold determines, in its sole discretion, that fraud, technical failures, or any other factor beyond Fold’s reasonable control has impaired or may impair the integrity, security, or proper operation of the Offer, Fold may suspend or terminate the Offer and may withhold crediting pending review.

Nature of the Activation Reward; Risk Disclosure

The Activation Reward is a promotional Reward and, consistent with the Fold Terms, is a general unsecured commercial obligation of Fold. The Activation Reward is not a deposit, is not a financial account, is not FDIC insured, and does not represent funds or bitcoin held on your behalf until redeemed in accordance with the Fold Terms. Bitcoin is a volatile asset, and your receipt and redemption of the Activation Reward are subject to the Bitcoin Risk Disclosure in the Fold Terms. Fold does not provide investment, financial, legal, or tax advice.

Disclaimers; Limitation of Liability; Release

The Offer is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, to the maximum extent permitted by applicable law. The Limitation of Liability, Disclaimers, and Indemnification and Release provisions of the Fold Terms apply to the Offer and the Activation Reward. Without limiting those provisions, to the maximum extent permitted by applicable law, Fold’s total aggregate liability arising out of or relating to the Offer or the Activation Reward will not exceed Fifty U.S. Dollars ($50.00 USD). To the maximum extent permitted by applicable law, you release Fold, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, demands, losses, and damages arising out of or relating to the Offer, your participation or inability to participate in the Offer, the timing or amount of any credit, or the value of bitcoin at any time. Nothing in this Section limits any rights you may have that cannot be waived under applicable law.

Taxes

The Activation Reward may be treated as taxable income to you, and Fold may report the value of the Activation Reward to tax authorities where required by law. You are solely responsible for any tax liability arising from your receipt of the Activation Reward, as further described in the Fold Terms. Fold does not provide tax advice, and you should consult a qualified tax professional regarding your individual circumstances.

Assignment

Fold may assign these Offer Terms and its rights, or delegate its obligations, under these Offer Terms without your consent. You may not assign or transfer these Offer Terms, the Offer, or the Activation Reward, and any attempted assignment or transfer by you is void.
